1. DEFINITION
The following words-both on the face and back hereof have the meanings hereby assigned.
(a) "Carrier"means Pukwan Ferry Co., Ltd. and the Vessel and/or her owner.
(b) "Merchant" includes the shippers, consignor, consignee, owner and recevier of the Goods and the holder of Bill of Lading.
(c) "Goods" means the cargo described on the face of this bill of Lading and, if the cargo is packed into container(s) supplied or furnished by or on behalf of the Merchant, includes the container (s) as well ;
(d) "vessel" includes vessel, ship, craft, lighter or means of transport which is shall be substituted, in whole or in part for, the Vessel named on the face hereof.
2. PARAMOUNT CLAUSE
As par as this Bill of Lading covers the carriage of the Goods by water, this Bill of lading shall have effect subject to Provision of the Commercial Code of the Republic of Korea, unless it is adjudged that any other legislation of a nature similar to the International Convention for the Unification of Certain rules relating of bills of lading signed at brussels on August 25, 1924 compulsorily applies to this Bill of Lading, in which case it shall have effect subject to the provision of such legislation, and the said Act or legislation (hereinafter called the Hague Rules Legislation shall be deemed to be incorporated herein. If any Provision to this bill of lading is held to be repugnant to any extent to the hague Rules Legislation or any other laws, status or regulation applicable to the contract evidenced by this Bill of Lading ,such provision shall be null and void to such extent but no further.
3. GOVERNING LAW AND JURISDICTION
The contract evidenced by this Bill of Lading shall be governed and construed by Korean law except as may be otherwise provided for herein, and any action against the Carrier thereunder shall be brought before the Seoul District Court in Korea.
4. LIMITATION STATUTES
Nothing in this Bill of Lading shall operate to limit or deprive the Carrier of any statutory protection or exemption or limitation of liability authorized by any applicable laws, statutes or regulations of any countries.
5. SUB-CONTRACTING EXEMPTIONS AND IMMUNITIES OF SERVANTS, AGENTS AND CONTRACTORS.
The Carrier shall be entitled to sub-contract on any terms the whole or any part of the handing, storage or carriage of the Goods and any and all duties whatsoever undertaken by the Carrier in relation to the Goods. The Merchant shall indemnify the Carrier against any claims which may be made upon the carrier by any servant, agent or sub-constructor of the carrier in relation to the claim against any such person made by the Merchant. Without prejudice to the foregoing, every such servant, agent and sub-contractor shall have the benefit, of all provisions here in for the benefit of the Carrier as if such provisions were expressly for their benefit, and in entering into this contractor the carrier to the extent of those provisions, does so not only on his own behalf but also as agent and trustee for such servants, agents and sub-contractors.
6. ROUTE OF TRANSPORT
(1) The Goods may, at the Carrier's absolute discretion, be carried as a single shipment or as several shipments by the Vessel and/ or any other means of transport by land or air and by any route whatsover, whether or not such route is the direct, advertised or customary route.
(2) The Vessel shall have liberty to call and/ or stay at any port(s) or place(s) in or out of direct, advertised or customary route, once or more often and in any order backwards or forwards, and/ or to omit calling at any port(s) or place(s) whether scheduled or not.
(3) The Vessel shall have liberty to either with or without the Goods on board, and before or after proceeding toward the port of discharge, adjust compasses and other navigational instruments, make trial trips or tests, dry dock, go to repair yards shift berths, take in fuel or stores, embark or disembark any person(s), carry contraband explosives, ammunitions, warlike stores and hazardous cargo, sail with or with out pilots, tow or be towed, and save or attempt to save life or property.
(4) Any action taken by the Carrier under this Article shall be deemed to be included within the contractual carriage and such action or delay resulting therefrom shall not be deemed to be a deviation. Should the Carrier be held liable in respect of such action, the Carrier shall be entitled to the full benefit of all privileges, rights and immunities contained in this Bill of Lading.
7. RESPONSIBILITY
(1) The carrier shall not be responsible for loss of or damage to the goods occurring before receipt of the Goods by Carrier at the place of receipt or port of loading or after delivery by the Carrier at the port of discharge or place of delivery.
(2) In case it is established by the Merchant that loss of or damage to or in connection with the Goods occurred during the period from the receipt by the Carrier at the place of receipt or port of loading to the delivery by the Carrier at the port of discharge or place of delivery, the Carrier shall subject to the provisions of this Bill of Lading be responsible for such loss or damage to the extent following but no further:
(ⅰ) With respect to loss or damage occurring during the period from the time when the Goods arrived at the sea terminal at the port of loading to the time when they left the sea terminal at the port of discharge and also occurring during any previous or subsequent period of carriage by sea or inland waterways, to the extent prescribed by the applicable Hague Rules Legislation as provided for in Article 2 hereof : or
(ⅱ) save as covered by (ⅰ) above, with respect to loss or damage occurring during the handling, storage or carriage of the Goods by a sub- contractor or agent of the Carrier, to the extent to which such sub-contractor or agent would have been liable to the Merchant if he had made a direct and separate contract with the Merchant in respect of such a handling, storage or carriage, the terms and condition of the said direct and separate contract can be obtained at the Carrier's offices upon request of the Merchant, or
(ⅲ) in case it cannot be proved where the Goods were when the loss or damage occurred, the loss or damage shall be deemed to have occurred in the course of carriage by water and the Carrier shall be responsible to the extent prescribed by the applicable Hague Rules Legislation.
(3) Notwithstanding article 7 (2) here of , the carrier does not undertake that the Goods shall arrive at the port of discharge or place of delivery at any particular time or in time to meet any particular market or use and the Carrier shall not be responsible for any direct indirect loss or damage which is caused through delay.
(4) The column "Final Destination" on the face hereof is solely for the Purpose of the Merchant's reference and the Carrier's responsibility in respect to the Goods shall in all cases cease at the time of delivery of the Goods at the Port of discharge or place of delivery.
8. LIBERTIES.
(1) In any situation whatsoever, whether or not existing or anticipated before commencement of or during the transport which in the judgement of the Carrier (including for the purpose of this Article any person changed with the transport of safekeeping of the Goods )
(ⅰ) has given or is likely to give rise to danger, injury, loss delay or disadvantage of whatsoever nature to the Vessel, a vehicle, the Carrier, any person ,the Goods or any property : or
(ⅱ) has rendered or is likely to render it in any way unsafe, impracticable or unlawful or against the interest of the Carrier or the Merchant to commence or continue the transport or to discharge the Goods at the port of discharge or to deliver the Goods at the place of delivery by the route and in the manner originally intend by the Carrier,
(a) at any time shall be entitled to unpack the container(s)or otherwise dispose of the Goods in such way as the Carrier may deem advisable at the risk and expence of the Merchant :and/or
(b) before the Goods are loaded on the Vessel, a vehicle or other means of transport at the place of receipt or port of loading shall be entitled to cancel the contract of carriage without compensation and to require the Merchant to take delivery of them and upon his failure to do so to warehouse or place them anywhere at the risk and expense of the Merchant : and/or
(c) if the Goods are at a place awaiting transport there and to store them at any place selected by the Carrier at the risk and expense of the Merchant : and/or
(d) if the Goods are loaded on the Vessel, a vehicle or other means of transhipment, shall be entitled to terminate the transport whether or not approaching, entering or attempting to enter the port of discharging or to reach the place of delivery or attempting of commencing to discharge, shall be entitled to discharge the Goods or any part their of at any port or place selected by the Carrier or to carry them back to the port of loading or place of receipt and there discharge them. Any action under (c) or (d) above shall constitute complete and final delivery and full performance of this contract, and the carrier thereafter be freed from any responsibility hereunder.
(2) if, after storage, discharge or any actions according to the preceding paragraph, the Carrier makes arrangements to store and /or tranship and/or forward the Goods, it is agreed that he shall do so as agent only for and at the sole risk and expense of the Merchant without any liability whatsoever in respect of such agent and the Merchant shall reimburse the Carrier forthwith upon demand all extra freight, charges and extra expenses thereby incurred.
(3) the situation referred to in paragraph (1) above shall include but shall not be limited to those caused by the existence or apprehention of war declared hostilities, warlike or belligerent ants or operations, riots, civil commotions or other disturbances : closure of, obstacle in or danger to any canal: blockade of port or place or interdict or prohibition of or restriction on commerce of trading ; quarantine, sanitary or other similar regulations or restrictions : strikes, lockouts or other labour troubles whether partial or general and whether or not involving employees of the Carrier or his sub-contractors ; congestion of port, wharf, sea terminal or any other place ; shortage, absence or obstacles of labour or facilities for loading, discharge, delivery or other handling of the Goods; epidemics or diseases: bad weather, shallow, ice, landslide or other obstacles in navigation or haulage.
(4) The Carrier, in addition to all other liberties provided for in this article, shall have liberty to comply with orders, directions, regulations, recommendations or suggestions as to departure, arrival, route, port of call, stoppage, loading, discharge, handling, destination, delivery, quarantine or otherwise, howsoever given by government, public authorities or department thereof or any person acting or purporting to act with author of such government, public authorities or department thereof or by any committee or person having, under the terms of any insurance on the vessel, the right to give such order directions, regulations, recommendation or suggestions if by reason of and/or in compliance with any such orders directions, regulation recommendations or suggestions anything is done or is not due, the same shall be deemed to be included within the contractual carriage and shall not be deemed to be a deviation.
9. USE OF CONTAINER.
where the Goods receipt of which is acknowledged of the face this Bill of Lading are not already packed into container(s) at the time of receipt, the Carrier shall be at liberty to pack and carry them in any type of container(s).
10.CARRIER'S CONTAINER.
(1) The merchant shall assume full responsibility for and shall indemnify the Carrier against any loss of or damage to the Carrier's container(s) and other equipment (s) which occurs while in the possession or control of the Merchant, his agents or inland carriers engaged by or on behalf of the Merchant.
(2) The Carrier shall in no event be liable for and the Merchant shall indemnify and hold the Carrier harmless from and against any loss of or damage to property of other persons or injuries to other persons caused by the Carrier's container(s) or the contents thereof during handling by, or while in the possessions or control of the Merchant, his agents or inland carriers engaged by or on behalf of the Merchant.
11.CONTAINER PACKED BY MERCHANT
If the cargo received by the Carrier is container(s) into which contents have been packed by or on behalf of the Merchant,
(1) this Bill of Lading is prima facie evidence of the receipt only of the number of container(s) as shown on the face hereof, and the order and condition of the contents and any particulars thereof (including marks and numbers, number and kind of packages or pieces, description quality, quantity, gauge, weight, measure, nature,
kind and value) are unknown to the carrier, who accept no responsibility in respect thereof and
(2) the Merchant that the stowage of the contents of container(s) and their closing and sealing are safe and proper and also warrants that the container(s) and contents thereof are suitable for handling and carriage in accordance with the terms
hereof inculding Article 15, in the event of the Merchant's breach of said warranties, the Carrier shall not be responsible for any loss or damage to or in connection with the Goods resulting from said breach and the Merchant shall be liable for loss of or damage to any other property, or for personal injury or the consequences of any other accident or events whatsoever and shall indemnify the carrier against any kind of loss or liability suffered or incurred by the Carrier on account of the said accidents or events, and
(3) the Merchant shall inspect the container(s) when the same are furnished by or on behalf of the carrier and they shall be deemed to have been accepted by the Merchant as being in sound and suitable condition for the purpose of the transport contracted herein, unless he gives notice to the contrary in writing to the Carrier and
(4) if the container(s) are delivery by the Carrier with seals intact, such delivery shall be deemed as full and complete perpomance of the Carrier's obligation hereunder and the Carrier shall not be liable for any loss of or damage to the contents of the container(s), and
(5) the carrier shall be at liberty to open the container(s) and to inspect the contents of the container(s) without notice to the Merchant at such time and place as the Carrier may deem necessary and all expenses incurred therefrom shall be borne by the Merchant, in case the seals of container(s) are broken by the customs or other Authorities for inspection of the contents of the said container(s), the Carrier shall not be liable for any loss, damage, expenses or any other consequences arising or resulting therefrom.
12. CONTAINER PACKED BY CARRIER.
Where Goods received for carriage under this Bill of Lading are not already contained in or on container(s) at the time of such receipt, the Carrier shall be at liberty to carry such Goods in or on container(s), and any statements on this Bill of Lading relating to marks, numbers, description, quantity, quality, weight, measure, nature, kind, value or other particulars of such Goods are as furnished by the Merchant and are unknown to the Carrier and the Carrier accepts no responsibility therefor. Each Merchant shall be deemed to have warranted to the Carrier the accuracy of the above particulars and shall indemnify the Carrier against all losses, damages, expenses, penalties and fines arising and resulting from inaccuracies of such particulars.
13. SPECIAL CONTAINER
(1) The Carrier shall not undertake to carry the Goods in refrigerated, heated, insulated, ventilated or any other special container(s), nor to carry special container(s) packed by or on behalf of the Merchant as such, but the Carrier will treat such Goods or container(s) only as ordinary goods or dry container(s), respectively unless special arrangements for the carriage of such Goods or container(s) have been agreed to in writing between the Carrier and the Merchant and unless such special arrangements are noted on the face of this Bill of Lading and unless such special freight as required has been paid. The Carrier shall not accept responsibility for the function of special container(s) supplied by or on behalf of the Merchant.
(2) As regards the Goods which have been agreed to be carried in special container(s) the Carrier shall exercise due diligence to maintain the facilities of the special container(s) while they are in his actual custody and control, and shall not be liable for any kind of loss of or damage to the Goods casued by latent defects, derangement of breakage of facilities of the container(s).
(3) If the Goods have been packed into refrigerated container(s) by the Carrier and the particular temperature range requested by the Merchant is inserted in the Bill of Lading the Carrier will set the thermostatic controls within the requested temperature range but does not gurantee the maintenance of such temperature inside the container(s).
(4) If the cargo received by the Carrier is refrigerated container(s) into which the contents have been packed by or on behalf of the Merchant, it is the obligation of the Merchant to stow the contented properly and set the thermostatic controls exactly.
The carrier shall not be liable for any loss of or damage to the Goods arising out of or resulting from the Merchant's failure in such obligation and further, does not guarantee the maintenance of the intended temperature inside the container(s).
14. DANGEROUS GOODS, CONTRABAND.
(1) The Carrier undertake to carry the Goods of an explosive, inflammable, radioactive, corrosive, damaging, noxious, hazardous, poisonous, injurious or dangerous nature only upon the Carrier's acceptance of a prior written application by the Merchant for the carriage of such Goods. Such application must accurately state the nature, name, label and classification of the Goods as well as the method of rendering them innocuous, with the full names and address of the shipper and consignee.
(2) The Merchant shall undertake that the nature of the Goods referred to in the preceding paragraph is distinctly and permanently marked and manifested on the outside of the package(s) and container(s) and shall also undertake to submit the documents or certificates required by any applicable statutes or regulations or by the Carrier.
(3) Whenever the Goods are discovered to have been received by the Carrier without complying with the paragraph (1) or (2) above or the Goods are found to the contraband or prohibited by and laws or regulations of the port of loading, discharging or call or any place or waters during the transport, the Carrier shall be entitled to have such Goods rendered innocuous, thrown overboard or discharged or otherwise disposed of at the Carrier's discretion without compensation and the Merchant shall be liable for and indemnify the Carrier against any kind of loss, damage or liability including loss of freight and any expenses directly or indirectly arising out of or resulting from such Goods.
(4) The Carrier may exercise or enjoy the right or benefit conferred upon the Carrier under the preceding paragraph whenever it is apprehended that the Goods received in compliance with paragraphs (1) and (2) above become dangerous to the Carrier, Vessel, cargo, persons and/or other property.
(5) The Carrier has the right to inspect the contents of the package(s) or at anytime and anywhere without the Merchant 's agreement but only at the risk and expense of the Merchant.
15. DECK CARGO
(1) The Carrier has the right to carry the Goods in container(s) under deck or on deck.
(2) When the Goods are carried on deck, the Carrier shall not be required to specially note, mark or stamp any statement of on deck stowage on the face here of any custom to the contrary not with standing. The Goods so carried shall be subject to the applicable Hague Rules Legislation as provided for in Article @ here of and the stowage for all purposes including general average.
(3) The Carrier shall not be liable in any capacity what so ever for any non-delivery, misdelivery, and delay or loss of or damage to the Goods which are carried on deck and specially stated here in to be so carried, whether or not caused by the Carrier's negligence or the Vessel's unseaworthiness.
16. LIVE ANIMALS AND PLANTS.
The Carrier shall not be responsible for any accident, disease, morality, loss of or damage to live animals, birds, reptiles and fish and plants arising or resulting from
any cause what so ever including the Carrier's negligence or the Vessel's unseaworthiness , and shall have the benefit of all the provision of this Article.
17. VALUABLE GOODS
The Carrier shall not be liable to any extent for any loss of or damage to or in connection with platinum, gold, silver, jewellery, precious stones, precious metals, radioisotopes, precious chemicals, bullion, specie, currency, negotiable instruments, securities, writings, documents, pictures, embroideries, works of art, curious, heirlooms, collections of every nature or any other valuable Goods what so ever and value of the Goods have been declared in writing by the Merchant before receipt of the Goods by the Carrier, and the same is inserted in this Bill of Lading and ad-valorem freight has been prepaid thereon.
18. HEAVY LIFT.
(1) The weight of a single piece or package exceeding 4,480lbs. gross must be declared by the Merchant in writing before receipt by the Carrier and must be made clearly and durably on the outside of the piece or package in letters and figures not less than two inches high.
(2) In case of the Merchant's failure in his obligations under the preceding paragraph, the Carrier shall not be responsible for any loss of or damage to or in connection with the Goods, and at the same time the Merchant shall be liable for loss of or damage to any property or for personal injury arising as a result of the Merchant 's said failure and shall indemnify the Carrier against any kind of loss or liability suffered or incurred by the Carrier as a result of such failure.
19. DELIVERY BY MARKS.
(1) The Carrier shall not be liable for failure of or delay in delivery in accordance with marks unless such marks shall have been clearly and durably stamped or marked upon the Goods, package(s) and container(s) by the Merchant before they are received by the Carrier in letters and numbers not less than two inches high, together with names of the port of discharge and place of delivery.
(2) In no circumstances shall the Carrier be responsible for delivery in accordance with other than leading marks.
(3) The Merchant warrants to the Carrier that the marks on the Goods, package(s) and container(s) correspond to the marks shown on this Bill of Lading and also in all respects comply with all laws and regulations in force at the port of discharge or place of delivery, and shall indemnify the Carrier against all loss, damage, expenses, penalties and fines arising or resulting from incorrectness or incompleteness there of.
(4) Goods which cannot be identified as to marks and numbers, cargo sweepings, liquid residue and any unclaimed goods not otherwise accounted for shall be allocated for the purpose of completing delivery to the various merchants of goods of like character, in proportion to any apparent shortage, loss of weight or damage, and such goods or parts there of shall accepted as full and complete delivery.
20. DELIVERY
(1)The Carrier shall have the right to deliver the Goods at any time from or at the Vessel's side, custom house, warehouse, wharf, quay or any other place designated by the Carrier within the geographic limits of the port of discharge or place of delivery shown on the face here of.
(2) In case the Carrier's responsibility shall cease when the Goods have been delivered to the Merchant or inland carriers or any other person entitled to receive the Goods on his behalf at the place designated by the Carrier. Delivery of the Goods to the custody of Customs or any other Authorities shall constitute final discharge of the Carrier's responsibility hereunder.
(3) In case the cargo received by the Carrier is container(s) into which contents have been packed by or on behalf of the Merchant, the Carrier shall only be responsible for delivery of the total number of container(s) shown on the face here of, and shall not be required to unpack the container(s) and deliver the contents there of in accordance with brands, marks, numbers, sizes or types of packages or pieces ; provided, however ,that at the Carrier's absolute discretion and upon the Merchant's demand in writing reaching the Carrier at least 3 days prior to the scheduled date of arrival of the Vessel at the port of discharge concerned, container(s) may be un packed and the contents there of may be delivered by the Carrier to one or more receivers in accordance with the written instructions, in which case if the seal of the container(s) is intact at the time of unpacking, all the Carrier's obligations hereunder shall be deemed to have been discharged and the Carrier shall not be responsible for any loss of or damage to the contents arising or resulting from such delivery and the Merchant shall be liable for an appropriate adjustment of the freight and any additional charges incurred.
(4) In case the Goods have been into container(s) by the Carrier, the Carrier shall unpack the container(s) and deliver the contents there of and shall not be required to deliver the Goods in container(s) : provided, however, that at the Carrier's absolute discretion and subject to prior arrangement between the shipper and Carrier, Goods may be delivered to the Merchant in container(s), in which case if the container(s) are delivered by the Carrier with seals intact, such delivery shall be deemed as full and complete performance of the Carrier's obligations hereunder and the Carrier shall not be responsible for any loss of or damage to the contents for container(s).
(5) Optional delivery shall be granted only when arranged prior to the time of receipt of the Goods and so expressly provided herein. The Merchant desiring to avail himself of the option so expressed must give notice in writing to the Carrier at the first port of call of the vessel named in the option at least 48 hours prior to the Vessel's arrival there, otherwise the Goods shall be landed at any of the optional ports at Carrier's option and the Carrier's responsibility shall then cease.
21. TRANSHIPMENT AND FORWARDING.
(1) Whether arranged beforehand or not, the Carrier shall be at liberty without notice to carry the Goods wholly or partly by the named or any other vessel(s), craft or other means of transport by water, land or air, whether owned or operated
by the Carrier or others. The Carrier may under any circumstances whatsoever discharge the Goods or any part there of at any port or place for transhipment and store the same afloat or ashore and then forward the same by any means of transport.
(2) in case the Goods herein specified can not be found at the port of discharge or place of delivery or if they be miscarried, they when found, may be forwarded to their intended port of discharge or place of delivery at the Carrier's expense but the Carrier shall not be liable for any loss, damage, delay or depreciation arising from such forwarding.
22. FIRE
The Carrier shall not be responsible for any loss of or damage to the Goods arising or resulting from fire occurring at any time and even though before lading on or after discharge from the Vessel, unless caused by the actual fault or privity of the Carrier.
23. LIEN
(1) The Carrier shall have alien on the Goods, which shall survive delivery for all freight, dead freight, demurrage, damages, losses, charges, expenses and any other sums whatsoever payable by or chargeable to or for the account of the Merchant under this Bill of Lading and any contract preliminary hereto and the cost and expense of recovering the same, and may sell the Goods privately or by public auction without notice to the Merchant. If on sale of the Goods, the proceeds fail to cover the amount due and the cost and expenses incurred, the Carrier shall be entitled to recover the deficit from the Merchant.
(2) If the Goods are unclaimed during a reasonable time, or whenever in the Carrier's opinion, the Goods will become deteriorated, decayed or worthless, the Carrier may, at his discretion and subject to his lien and with out any responsibility attaching to him, sell, abandon or otherwise dispose of such Goods solely at the risk and expense of the Merchant.
24. FREIGHT AND CHARGES
(1) freight may be calculated on the basis of the particulars of the Goods furnished by the Merchant who shall be deemed to have guarantted to the Carrier the accuracy of the contents, weight, measure or value as furnished by him at the time of receipt of the Goods by the Carrier, but the Carrier may for the purpose of ascertaining the actual particulars, at any time, open the container(s) and/ or package(s) and examine contents, weight measure and value of the Goods, the Merchant shall be liable for and bound to pay to the Carrier,
(a) the balance of freight between the freight charged and that which would have been due had the correct details been given, plus
(b) as and by way of liquidated and ascertained damages, a sum equal to the correct freight.
(2) Full freight to the port of discharge or place of delivery named herein shall be considered as completely earned on receipt of the goods by the Carrier, whether the freight be stated or intended to be prepaid or to be collected at destination. The Carrier shall be entitled to all freight and other charges due hereunder, whether actually paid or not, and to receive and retain them irrevocably under any circumstances what so ever, whether the Vessel and/or the Goods be lost or not, or the voyage be broken up or frustrated or abandoned at any stage of the entire transit. Full freight shall be paid on damaged or unsound Goods.
(3) The Payment of freight and/or charges shall be made in full and in cash without any offset, counterclaim or deduction. Where freight is payable at the port of discharge or place of delivery, such freight and all other charges shall be paid in the currency named in this Bill of Lading, or at Carrier's option, in other currency subject to the regulations of the freight conference concerned or custom at the place of payment.
(4) Goods once received by the Carrier cannot be taken away or disposed of by the Merchant except upon the Carrier's consent and against payment of full freight and compensation for any loss sustained by the Carrier through such taking away or disposal. If the Goods are not available when the Vessel is ready to load the Carrier is relieved of any obligation to load such Goods and the Vessel may leave the port without further notice and dead freight shall be paid by the Merchant.
(5) The Merchant shall be liable for, and indemnify the Carrier against all dues, duties, taxes and charges including consular fees levied on the Goods, or all fines and/ or loss sustained or incurred by the Carrier in connection with the Goods how so ever caused, including the Merchant 's failure to comply with laws and regulations of any government or public authorities in connection with the Goods or to procure consular, Board of Health or other certificate to accompany the Goods.
The Merchant shall be liable for return freight and charges on the Goods refused exportation or importation by any government or public authorities. If the Carrier is of the opinion that the Goods stand in need of sorting, inspecting, mending or repairing or reconditioning or otherwise require protecting or caring for the Carrier
may carry out such work at the cost and expense of the Merchant. The Merchant authorises the Carrier to pay and/or incur all such charges and expenses and to do any matters mentioned above at the expense of and as
agents for the Merchant and to engage other persons to regain or seek to regain or seek to regain possession of the Goods and do all things deemed advisable for the benefit of the Goods.
(6) The shipper, consignee, owner of the Goods and holder of this Bill of Lading shall be jointly and severally liable to the Carrier for the payment of all freight and charges and for the performance of the obligation of each of them hereunder.
25. NOTICE OF CLAIM AND TIME FOR SUIT
(1) Unless notice of loss or damage and the general nature of such loss or damage be given in writing to the Carrier at the port of discharge or place of delivery before or at the time of delivery of the Goods or, if the loss or damages be not apparent, within 3 days after delivery, the Goods shall be deemed to have been delivered as described in this Bill of Lading.
(2) In any event the Carrier shall be discharged from all liability in respect of non-delivery, misdelivery, delay, loss or damage unless suit is brought within one year after delivery of the Goods or the date when the Goods should have been delivered.
26. LIMITATION OF LIABILITY.
(1) All claims for which the Carrier may be liable shall be adjusted and settled on the basis of the Merchant's net invoice cost, plus freight and insurance premium, if paid, in no event shall the Carrier be liable for any loss of profit or any consequential loss.
(2)
(ⅰ)Not withstanding the preceding paragraph the Carrier shall in no event be liable for loss or damage in an amount exceeding One Hundred Pounds Lawful English Money (ℇ100 stg.) or its equivalent in any other currency per package, piece or unit, unless the value of the Goods higher than this amount has been declared in writing by the Merchant before receipt of the Goods and inserted in this Bill of Lading together with nature there of and extra freight has been paid as
required. If the actual value of the Goods per package, piece of unit exceeds such declared value, the value shall nevertheless be deemed to be the declared value and the Carrier's liability , if any, shall not exceed the declared value. Any partial loss or damage shall be adjusted pro rata on the basis of such declared value. In case the declared value is markedly higher than the actual value, the Carrier shall in no event be liable to pay any compensation, and
(ⅱ) where the cargo has been either packed into container (s) or unitized into similar article(s) of transport by or on behalf of the Merchant, expressly agreed
that the number of such container(s) or similar article(s) of transport shown on the face hereof shall be considered as the number of the package(s) piece(s) or unit(s)
for the purpose of the application of the limitation of liability provided for herein.
27. GENERAL AVERAGE, NEW JASON CLAUSE.
(1) General average shall be adjusted, stated and settled at Seoul or any other port or place at the Carrier's option according to the York-Antwerp Rules 1974, as amended 1990 and as to matters not provided for by these Rules, according to the laws and usages of the port or place of adjustment and in the currency selected by the Carrier. The general average statement shall be prepared by the adjusters appointed by the Carrier. Average agreement or bond and such cash deposit as the Carrier may deem sufficient to cover the estimated contribution of the Goods and
any salvage and special charges thereon and any other additional securities as the Carrier may require shall be furnished by the Merchant to the Carrier before delivery of the Goods.
(2) In the event of accident, danger, damage or disaster before or after commencement of the voyage, resulting from any cause whatsoever, whether due to negiligence or not, responsible by statue, contract or otherwise, the Goods and the Merchant shall jointly and severally with the Carrier in general in acerage to the payment of any sacfifices , loss or expenses of a general average nature that may be made or incurred, and shall pay salvage and special charges incurred in respect of Goods. If a salving ship is owned or operated by the Carrier, salvage shall be paid for as fully and in the same manner as if such salving ship belonged to strangers.
28. BOTH TO BLAME COLLISION.
If the Vessel comes into collision with another ship as a result of the negligence of the other ships, and any act, neglect or default of the Master, mariner, pilot or the servants of the owner of the Vessel in the navigation or in the management of the Vessel, the Merchant shall indemnify the Carrier against all loss of liability which might be incurred directly or indirectly to the other or non-carrying ship or her owners in so far as such loss or liability represents loss of or damage to his Goods or any claim what soever of the Merchant, paid or payable by the other or non-carrying ship or her owners to the Merchant and set-off, recouped or recovered by the other or non-carrying Vessel or her owners as part of their claim against the carrying Vessel or the thereof. The foregoing provisions shall also apply where the owners, operators or those in charge of any ship or ships or objects other than, or in addition to, the colliding ship or objects are at fault in respect of a collision or contact.
29. LOCAL CLAUSE.
In case this Bill of Lading covers the Goods Moving to or from the U.S.A and if it shall be adjudged that the Commercial Code of Republic of Korea does not govern this Bill of Lading,
(1) Article 16 and Article 15 (3) here of shall be replaced by the following terms:
"With respect to live animals, birds, reptiles and fish and plants and the Goods carried on deck and stated herein to be so carried, all risks of loss or damage by perils inherent in or incidental to such carriage shall be borne by borne by the Merchant, but in all other respects in connection with the custody and carriage of such Goods, the Carrier shall have the benefit of the provisions of the Carriage of Goods by Sea Act 1936 of the U.S.A. not with standing Section I (c) thereof , and of all the terms and conditions of this Bill of Lading except those inconsistent with the provisions of this Article, and
(2) Article 7 (2) (ⅱ) hereof shall replaced by the following terms: "Save as covered by (ⅰ) above, with respect to loss of damage occurring during the handling, storage or carriage of the Goods by a sub-contractor or agent of the Carrier, to the extent to which such sub-contractor or agent would have been liable to the Merchant if it is not approved or authorized under any applicable laws, rules or regulations for the Carrier to undertake such handling, storage or carriage under his own responsibility, the Carrier is not entitled to settle any claims with the Merchant regarding the non-delivery, misdelivery, delay or loss of or to the Goods arising or resulting from such handling, storage or carriage by any carriers or persons under their contrants and tarriff."
선하증권 이면약관
1. DEFINITION 정의
본 선하증권상 전면(前面) 및 이면(裏面)에서 사용되는 아래의 용어의 정의는 다음과 같다.
(a) "운송인“ 은 부관훼리주식회사와 그 선박 혹은 선박 소유주를 의미한다.
(b) "화주“ 라함은 송하인, 위탁인, 수하인, 화물의 소유주 그리고 수취인, 선하증권 소지자 모두를 의미한다.
(c) "화물“ 은 선하증권의 앞면에 명시되어 있는 화물을 의미하며, 만일 화물이 화주에 의해 공급된 컨테이너에 적재되었다면, 그 컨테이너 역시 화물을 의미한다.
(d) “선박” 이라함은 선박, 배, 단주(端舟), 부선, 본 증권상의 전면에 명시된 선박을 완전 혹은 부분 대체되었거나 혹은 대체가능한 그 밖의 운송수단을 의미한다.
2. PARAMOUNT CLAUSE 지상약관(至上約款)
본 선하증권이 수로에 의한 화물운송에 적용되는 한, 본 선하증권은 대한민국의 상법조항에 따른다. 만일 1924年 8月 25日 제정된 선하증원에 관한 통일규칙에 관한 국제협약과 비슷한 특성을 지닌 기타 다른 법규가 강제적으로 본 선하증권에 적용된다고 판시되지 않는다면, 이러한 경우 본 선하증권은 앞서 언급한 국제협약에 따르며, 앞서 언급한 법령 혹은 법규는 (이 이후로는 헤이그 규칙이라 함) 본 선하증권상에 합치하는 것으로 간주된다. 만일 본 선하증권상의 어떤 조항이 본 선하증권에 명시된 운송계약에 적용될 수 있는 법률과 규정, 헤이그 규칙 혹은 기타 다른 법률에 어느정도 모순된다면, 그 조항은 법적 효력이 없으며 무효이다.
지상약관 : 선하증권이 헤이그규칙에 따라 국내법에 사용할 경우 당해 선하증권에 기재된 운송약관은 선하증권발행국의 해상물품운송법에 따라서 효력을 갖는다는 취지를 기재한 약관.
3. GOVERNING LAW AND JURISDICTION 준거법과 재판관할
본 선하증권으로 명시된 계약은 본 증권상에 별도로 규정된 조항은 별도로 하고, 대한민국법에 따르며 운송인에 대한 소송은 한국에 있는 부산지방법원에 소를 제기해야 한다.
준거법 : 무역거래는 법률제도가 서로 다른 국가간의 거래이므로 계약내용의 해석에 있어서 분쟁이 발생할 염려가 있는데, 이 때 기준이 될 수 있도록 마련된 법.
4. LIMITATION STATUTES 법률의 제한.
본 선하증권상 어떠한 조항도 운송인에게서 특정국가의 법, 법률 혹은 규정에 의해 인정된 책임의 한계 혹은 면책, 법적인 보호를 제한하거나 박탈하지 아니한다.
5. SUB-CONTRACTING EXEMPTIONS AND IMMUNITIES OF SERVANTS, AGENTS AND SUB-CONTRACTORS. 고용인, 대리인 그리고 하도급 계약자들의 하도급 계약에 관한 면제와 면책.
운송인은 화물의 취급, 보관 혹은 운송에 대하여 부분 혹은 전부분에 대해, 그리고 화물과 관련하여 운송인의 부분․전적인 의무에 대하여 어떠한 조건으로든지간에 하도급계약을 할 수 있는 권리가 있다. 화주는 제 3자에게 제기하는 소송과 관련하여 운송인의 특정 고용인, 대리인 혹은 하도급자에 제기될 수 있는 소송에 대하여 운송인에게 배상책임을 물어야 한다. 전술한 내용을 침해함 없이, 모든 고용인, 대리인 혹은 하도급 계약자는 마치 모든 조항이 명백하게 그들을 위하여 존재하는 것처럼 본 선하증권상 모든 조항의 이익을 보게 된다. 더욱이 이 계약을 체결 즉시 모든 조항의 한도에서 운송인은 특정 고용인들, 대리인들 그리고 하도급 계약자들을 위한 대리인 그리고 수탁자로서 뿐만 아니라 그 자신의 이익을 위하여 그와같이 해야 한다.
6. ROUTE OF TRANSPORT 운송 경로
(1) 화물은 운송인의 절대적 판단에 따라 선박에 의해 한번에 선적 혹은 분할 선적되어 운송될 수 있으며, 그러한 경로가 직항로이건, 공시된 경로이건 혹은 일상경로이건간에 육로 혹은 항공에 의해 그리고 그 밖의 다른 경로로 운송될 수 있다.
(2) 선박은 직항로, 공시된 경로 혹은 일상 경로상의혹은 경로밖의 어느 항구 혹은 장소에 한번 혹은 그 이상 입함하거나 정박할 권리가 있다. 예정되었던지 그렇지 않던 간에, 특정 항구 혹은 장소에 입항을 생략할 수가 있다.
(3) 선박은 화물을 싣고 혹은 화물없이 양하항으로 나아가기 전에 혹은 후에 나침반과 기타 항해장비를 점검하고, 시범운항을 하고, 드라이 도크에 들어가고, 조선소에 수리차 들어가고, 정박위치를 변경하고, 연료를 주입하고, 어느 특정인(들)을 승선 혹은 하선시키고, 금수폭발물․무기․군수품과 위험물을 운송하고, 조타수와 함께 혹은 없이 운항하고, 견인하거나 견인되고, 생명과 재산을 구하거나 구하려고 시도할 수 있다.
(4) 본 조항하에서 운송인에 의해 취해진 특정 조치는 계약상의 운송의 범주로 간주되고 그로부터 기인한 그와 같은 조치와 지연은 이로(離路)로 간주되지 않는다. 만일 운송인이 그러한 조치와 관련하여 책임이 있다면, 운송인 역시 본 선하증권에 담겨 있는 모든 기본적 권리와 면책을 누릴 권리가 있다.
7. RESPONSIBILITY 책임
(1) 운송인은 수취장소 또는 선적항에서 운송인이 화물을 수취하기 전에 혹은 양하항 또는 양도장소에서 화물을 양도한 후에 발생한 화물의 손실 또는 손해에 대하여 책임지지 아니한다.
(2) 수취장소 또는 선적항에서 운송인이 화물을 수취한 시점부터 양하항 또는 양도장소에서 그 화물을 양도한 시점까지 그 기간 동안에 발생한 화물과 관련한 손해 또는 손실이 화주에 의해 입증될 경우, 본 선하증권의 규정에 따라 운송인은 다음과 같은 범위에 해당하는 경우에 그러한 손실과 손해에 대하여 책임이 있으며 그 이상은 없다.
(ⅰ) 화물이 선적항의 터미널에 도착한 때부터 양하항의 터미널을 출발하는 때까지 그 기간 동안에 발생한 손실 또는 손해에 관하여 그리고 또한 해로 또는 육지수로로 어느 이전 또는 이후의 운송기간 동안에 발생한 손실 또는 손해에 관하여, 본 선하증권상의 2조에서 규정한 것처럼 적법한 헤이그 규칙에 규정된 범위내에서.
(ⅱ) 위 (ⅰ) 에 적용되는 것은 제외하고, 운송인의 하도급자 또는 대리인에 의해 화물의 취급, 보관 또는 운송 동안에 발생한 화물의 손실 또는 손해에 관하여, 만일 하도급자 또는 대리인이 화주와 그러한 취급, 보관 또는 운송, 화주의 요청에 따라 운송인의 사무실에서 행해진 앞서 언급한 직․단독 계약 조건들에 관하여 계약을 했다면 그러한 하도급자와 대리인은 화주에게 그 범위까지 책임이 있으며, eh는
(ⅲ) 화물의 손실 또는 손해가 언제 어디에서 발생했는지 증명될 수 없는 경우, 그 손실 또는 손해는 해상으로 운송과정에서 발생한 것으로 간주하여 운송인은 헤이그 규칙상의 규정된 범위까지 책임이 있다.
(3) 본 선하증권 7조 2항에도 불구하고, 운송인은 화물이 양하항 또는 양도 장소에 어떤 특정한 시간 또는 어떤 특정한 시장수요를 충족시킬 수 있는 시간(적기)에 도착하였을 경우 책임지지 아니하며, 지연으로 야기된 어떤 직․간접적인 손실 또는 손해에 대하여 책임지지 아니한다.
(4) 본 선하증권 전면(前面)의 “최종 목적지” 난은 오로지 화주의 요청에 의한 것이며 화물에 관한 운송인의 책임은 어떠한 경우라도 양하항 또는 양도 장소에서 화물을 양도한 시점에서 종료된다.
8. LIBERTIES. 권리
운송인의 판단하에서 다음과 같은 운송의 시작 전 또는 운송 동안에 존재하거나 존재치 않던간에 혹은 예기했던 예기치 못했던 간에 어떠한 상황에서든지, (본 조항의 목적상 화물을 안전하게 운송할 의무가 있는 어떠한 특정인을 포함)
(ⅰ) 선박, 운송수단, 운송인, 어떤 특정인, 화물 또는 재산에 본질적인 위험, 손상, 손실, 지연 또는 불이익을 야기하거나 할 것 같은 운송 : 또는
(ⅱ) 운송인의 본질적으로 의도된 경로와 방식으로 운송을 시작하거나 계속하는 것 또는 양하항에서 화물을 양하하는 것, 양도 장소에서 화물을 양도하는 것에 대하여 어떠한 형태로든지 운송인 또는 화주의 이익에 반하거나 위험, 비실용적임을 주거나 줄 것 같은 운송의 경우에, 운송인은
(a) 운송인이 화주의 위험과 비용으로 합당하다고 간주할 수 있는 그러한 방식으로 언제든지 컨테이너(들)을 풀어 그 밖의 방법으로 화물을 처분할 권리가 있다. : 그리고/ 또는
(b) 화물이 수취 장소 eh는 선적항에서 선박 또는 기타 운송수단에 선적되기전에 보상하는 것 없이 운송계약을 취소할 권리와 화주에게 화물을 양도해 가라고 요청할 권리와 그렇게 하지 못할 경우, 화주의 위험과 비용으로 보세창고나 기타 다른 장소에 화물을 둘 권리가 있다. : 그리고/ 또는
(c) 만일 화물이 환적할 어느 장소에 있다면, 그곳에서 운송을 중단하고 화주의 휘험과 비용으로 운송인에 의해 선정된 특정 장소에 화물을 보관할 권리가 있다. : 그리고/ 또는
(d) 만일 화물이 양하항에 입항하려는 또는 양도 장소에 정박하려는 접근, 입항 혹은 시도, 양하를 시작하려는 시도에 관계없이 선박, 기타 운송수단에 선적되었다면, 화물 또는 그 일부를 운송인에 의해 선정된 어느 항구 또는 장소에 양하 할 수 있으며 혹은 화물을 선적항 또는 수취 장소로 재운송하여 그곳에 양하할 권리가 있다. 위 (c) 또는 (d) 항에서의 특정 조치는 완결된 최종 양도와 본 계약의 환벽한 이행이 되며, 운송인은 이로써 그 시점에서 책임이 종결된다.
(2) 앞서 언급한 단락(1항)에 따른 보관, 양하 또는 어떤 조치 후(後)에, 만일 운송인이 화물을 보관하고 (또는) 환적하고 (또는) 운송할 계약을 한다면, 운송인은 대리인으로서 어떠한 책임도 없이 화주의 위험과 비용으로 그렇게 하는 것이며 화주는 그것에 의해 발생한 모든 여분의 운임과 비용을 요청 즉시 운송인에게 상환해야 한다.
(3) 위 (1) 항에서 언급한 상황(들)은 다음과 같으며, 전쟁 선전포고의 적대적 행위 또는 전쟁 유사행위 또는 적대행위 혹은 군사활동, 폭동, 시민 소요 또는 기타 혼란이 이미 발생하였거나 혹은 우려되는 경우에 의해 야기된 상황들에 국한되지 는 않는다. ; 어느 해협통과의 폐쇄, 방해 혹은 위험 ; 항만 봉쇄, 통상 금지 또는 제한 ; 위생, 검역 또는 기타 유사한 규제와 제한 ; 부분적 또는 전체적이건, 운송인의 고용인들 또는 하도급자가 관련되었건 그렇지 않던 간에 파업, 직장폐쇄, eh는 기타 다른 노동행위 ; 항만, 부두, 터미널, 기타 장소의 체증 ; 화물의 선적, 양하, 양도 또는 취급과 관련한 노동 또는 항만시설의 부족, 부재 또는 장애요인들 ; 전염병 또는 기타 질병 : 항해 또는 운반상의 악천후, 얕은 수심, 빙결, 붕괴 또는 기타 장애 요인들.
(4) 본 조항에 규정된 모든 기타 권리들이외에, 운송인은 출항, 도착, 경로, 입항, 정박, 선적, 양하, 취급, 목적지, 양도, 검역에 관한 명령, 지시, 규정, 권고 또는 제안에 따를 권리가 있고 혹은 그 밖의 정부, 공공 기관 또는 부서에 의한, 그러한 정부 당국, 공공기관 또는 부서에 준하는 특정인에 의한, 또는 선박에 관한 어느 보험조건 상에서 그러한 명령 지시, 규정 권고 또는 제안을 할 수 있는 권리가 있는 특정 위원회나 특정인에 의한 명령, 지시, 규정, 권고 또는 제안에 따를 권리가 있다. 만일 그러한 명령, 지시, 규정 권고 또는 제안에 따라서 혹은 근거하여 어떤 행위가 행해졌거나 이행되지 않았다면, 바로 그것은 계약상의 운송의 범주에 포함되는 것으로 간주되며 이로로 간주되지는 아니한다.
9. USE OF CONTAINER. 컨테이너 사용
본 선하증권에 표시된 화물을 운송인이 수취시 이미 컨테이너에 적재된 상태가 아닐 경우, 운송인은 임의대로 여타 종류의 컨테이너에 화물을 실어 운송할 수 있다.
10. CARRIER'S CONTAINER. 운송인의 컨테이너
(1) 화주를 대행하는 내륙 운송업자 또는 그 대리인, 혹은 화주가 점유 또는 관리하는 동안에 발생한 운송인의 컨테이너 또는 기타 장비에 대한 어떤 손실 또는 손해에 대하여 화주는 운송인에게 모든 책임을 지고 배상해야 한다.
(2) 화주를 대행하는 내륙 운송업자 또는 그 대리인, 혹은 화주가 점유 또는 관리하는 동안에 혹은 취급되는 동안에 운송인의 컨테이너(들) 또는 그 내용물에 의해 야기된 특정인의 재산상의 손실 또는 손해, 혹은 특정인의 상해에 대하여 운송인은 결코 책임이 없으며 화주가 배상해야 하고 운송인에게 피해가 없도록 해야 한다.
11. CONTAINER PACKED BY MERCHANT 화주에 의해 적재된 컨테이너
만일 운송인이 수취한 화물이 컨테이너이고 그 컨테이너의 내용물이 화주에 의해 적재된 경우,
(1) 본 선하증권이 선하증권의 전면(前面)에 명시된 컨테이너의 그 수만큼 수취하였다는 충분한 증거가 되고, (하인, 하번(荷番), 포장갯수와 종류 또는 수량, 명세, 질, 수량, 규격, 중량, 부피, 성질, 종류와 가격을 포함하여) 그 내용물의 순서와 개수, 그 내용물의 세목 그리고 포장갯수와 종류에 대하여 운송인은 알 수 없으며 그러한 점에서 책임도 없다. 그리고,
(2) 화주는 컨테이너 내용물의 적재와 잠금, 봉인이 안전하고 적절하며 또한 컨테이너와 그 내용물은 본 선하증권 15조의 조항들에 따라 취급․운송에 적절하다는 것을 보증한다. 앞서 언급한 보증사항들을 화주가 불이행하였을 경우, 운송인은 계약의 불이행에서 기인하는 화물과 관련한 손실 또는 손해에 대하여 책임지지 아니하며, 화주는 재산상의 손실 또는 손해, 신체 상해, 여타의 사건 또는 사고의 결과에 대하여 책임을 지며, 앞서 언급한 사건 또는 사고의 이유로 운송인이 받게 되는 손해 또는 손실, 책임에 대하여 운송인에게 배상해야 한다. 그리고,
(3) 컨테이너가 운송인에 의해 또는 운송인을 대신하여 제공될 때 화주는 그 컨테이너를 검사해야 하며, 만일 운송인에게 서면상으로 그렇지 않다는 통보를 하지 않는다면, 그 컨테이너(들)는 본 선하증권상 계약된 운송목적에 양호한 상태이며 부합된다는 것을 화주가 받아들인 것으로 간주된다. 그리고,
(4) 만일 그 컨테이너가 상태가 온전한 봉인이 된채 운송인에 의해 인도된다면, 그러한 인도는 여기에서 운송인의 의무의 완전한 이행으로 간주되며 운송인은 그 컨테이너의 내용물에 대한 어떤 손실 또는 손해에 대하여 책임지지 아니한다. 그리고,
(5) 운송인이 필요하다고 여기는 그러한 시기와 장소에서 화주에게 통보없이 컨테이너를 개봉하여 그 컨테이너의 내용물을 검사할 수가 있으며 발생된 모든 비용은 화주가 부담하며, 앞서 언급한 컨테이너의 내용물 검사를 위해 세관당국 또는 기타 공공기관에 의해 컨테이너의 봉인을 뜯은 경우, 운송인은 그 결과로 일어나거나 발생하는 어떤 손실 또는 손해, 비용 또는 기타 결과에 대하여 책임지지 아니한다.
12. CONTAINER PACKED BY CARRIER. 운송인에 의해 적재된 컨테이너
본 선하증권상의 운송을 위해 수취한 화물이 수취시기에 이미 컨테이너에 적재되어 있지 않을 경우, 운송인은 자유재량으로 그러한 화물을 컨테이너에 운송할 수 있으며, 그 화물의 하인, 개수, 상품명세, 수량, 품질, 중량, 부피, 성질, 종류, 가치 혹은 기타 명세와 관련한 본 선하증권상의 명세는 화주에 의해 제공된 것이며 운송인은 이에 대해 무지하고 그것에 대한 어떤 책임도 없다. 각 화주는 위 명세의 정확성을 운송인에게 보증한 것으로 간주하며 그러한 명세의 부정확성으로 일어나고 발생하는 모든 손실, 손해, 비용, 벌금과 과태료에 대하여 운송인에게 배상해야 한다.
13. SPECIAL CONTAINER. 특수 컨테이너
(1) 운송인은 화물을 냉장, 보온, 보냉, 통풍 혹은 기타 특수 컨테이너에 운송하는 것을 보증하지 않으며, 화주에 의해 혹은 대신하여 화물이 적재된 특수 컨테이너(들)를 운송하는 것을 보증하지 아니한다, 하지만 만일 그러한 화물과 컨테이너의 운송에 대한 특별한 계약이 없다면, 그리고 만일 선하증권의 전면(前面)에 명시된 그러한 특별한 계약이 없다면, 또한 청구된 것처럼 그러한 특별한 운임이 지불되지 않는다면, 운송인은 그러한 화물 또는 컨테이너를 단지 일상적인 화물 또는 드라이 컨테이너로 취급할 것이다. 운송인은 화주에 의해 또는 대신하여 적재된 특수 컨테이너의 기능에 대하여 책임지지 아니한다.
(2) 특수 컨테이너에 운송되도록 협의된 화물에 관하여 운송인은 그 컨테이너들이 운송인의 사실상 보관과 관리하에 있는 동안에 그 컨테이너 시설을 유지하기 위하여 충분한 노력을 다해야 하지만, 그 컨테이너 시설의 잠재적 결함, 파손에 의해 야기되는 화물의 어떤 손실 또는 손해에 대하여 책임지지 아니한다.
(3) 만일 화물이 운송인에 의해 냉동 컨테이너에 적재되고 화주에 의해 요청된 특정 온도범위가 선하증권상에 기재된다면, 운송인은 요구된 온도 범위내에서 자동 온도조절장치를 설정할 것이며 컨테이너 내(內)의 그 온도를 유지하는 것에 대하여 보증하지는 않는다.
(4) 만일 운송인이 수취한 화물이 냉동 컨테이너이고 그 내용물이 화주에 의해 또는 대신하여 적재되었다면, 그 내용물을 적절하게 적재하고 자동온도조절장치를 정확하게 설정하는 것은 화주의 의무이다. 운송인은 화주의 의무 불이행에서 야기되거나 발생하는 화물에 대한 어떤 손실 또는 손해에 대하여 책임지지 아니한다. 더욱이 컨테이너 내(內)의 의도한 온도 유지를 보증하지 아니한다.
14. DANGEROUS GOODS, CONTRABAND. 위험물, 금수품
(1) 운송인이 그러한 운송에 관하여 화주의 사전 서면상 선적요청을 수락하였을 경우에만 폭발성, 점화성, 방사능, 부식성, 파손을 입기 쉬운, 유독성, 위험물, 독성이 있는, 상해를 입힐 수 있는 화물 또는 위험한 성질의 화물을 운송을 한다. 그러한 신청서에는 화물의 성질, 이름 상표와 분류뿐만 아니라 화주와 수화인의 이름과 주소와 더불어 그들을 해가 없도록 취급하는 방법이 정확하게 상술되어 있어야 한다.
(2) 선행하는 (1)항에서 언급한 화물의 성질은 포장과 컨테이너의 외부에 명백하고도 영구적으로 하인되었음을 보증해야 하며, 또한 운송인 또는 관련 법령 또는 규정에 의해 필요한 서류 혹은 증명서를 제출해야 한다.
(3) 화물이 위 (1)항 또는 (2)항에 따르는 것 없이 운송인에 의해 수취되었음이 확인되거나 화물이 금수품으로 판명되거나 혹은 운송중 선적항, 양하항, 기항지 또는 어떤 장소 또는 수로의 법 또는 규정에 의해 금지된 경우, 운송인은 그 화물을 해가 없도록 하거나 본선밖으로 투척하거나 배상하는 것 없이 운송인의 재량으로 처리할 권리가 있으며, 화주는 그 화물로부터 일어나거나 발생하는 직․간접적인 어떤 비용과 운임 손실을 포함한 기타 손실, 손해 또는 책임에 대하여 책임을 져야 하며 운송인에게 배상해야 한다.
(4) 위 (1)항과 (2)항에 따라 수취한 화물이 운송인, 선박, 화물, 사람들과 기타 재산상에 위험하다고 판단될 경우 운송인은 제 (3)항에서 운송인에게 주어진 권리 또는 특권을 행사할 수 있다.
(5) 운송인은 포장의 내용물을 언제든지 어느장소에서 검사할 수 있는 권리가 있으며 그것은 화주의 위험과 비용으로 한다.
15. DECK CARGO. 갑판적 화물
(1) 운송인은 화물을 컨테이너에 실어 갑판아래 또는 갑판상에 운송할 권리가 있다.
(2) 화물이 갑판상에 운송될 경우, 우송인은 본 선하증권의 전면(前面)에 갑판적부에 관한 어떤 상술을 기록, 표시 또는 도장을 찍거나 할 필요가 없으며, 그럼에도 불구하고 그렇지 않은 경우 관습에 따른다. 그렇게 운송한 화물은 본 선하증권 제 2조에서 규정한 것처럼 헤이그 규칙에 따르며 공동해손을 포함한 모든 적부 역시 그러하다.
(3) 운송인은 운송인의 소홀 또는 선박의 불감항력에 의해 야기되었건 그렇지 않던간에 갑판적 운송된 화물과 특히 여기에서 상술된것처럼 갑판적 운송예정인 화물에 대한 어떤 손실 도는 손해에 대하여, 혹은 지연, 불착과 잘못된 인도에 관하여 책임지지 아니한다.
16. LIVE ANIMALS AND PLANTS. 생동식물
운송인은 운송인의 태만 또는 선박의 불감항력을 포함 기타 원인으로 발생하거나 일어나는 생 동물, 조류, 파충류, 어류와 식물에 대한 손실 또는 손해, 어떤 사고, 질병, 죽음에 대하여 책임지지 아니하며, 본 조항에 상반되는 사항들은 별도로 하고 본 선하증권의 모든 조항의 권리를 갖는다.
17. VALUABLE GOODS. 고가품(高價品)
운송인이 그 화물을 수취전에 화물의 진정한 본질과 가치가 화주에 의해 서면상으로 명시되고 선하증권상에 그 내용이 표시되고 종가운임(從價運賃)이 지불된 경우가 아니면, 백금, 금, 은, 보석, 귀금속, 방사능동위원소, 고가의 화학제품, 금화, 정화(正貨), 화폐, 양도가능증서, 유가증권, 각종 증서․증권, 그림, 자수품, 미술품, 골동품, 가보, 모든 종류의 수집품 또는 화주에게만 특별한 가치가 있는 화물을 포함하여 기타 고가품과 관련하여 어떤 손해 또는 손실에 대하여 책임지지 아니한다.
18. HEAVY LIFT. 중량화물(重量貨物)
(1) 단일화물 또는 단일포장의 중량이 4,480lbs 초과하는 경우 운송인이 수취전에 문서로 화주에 의해 신고되어야 하며 적어도 2인치 크기로 문자와 숫자로 동 화물 또는 포장 외부에 그 중량을 지워지지 않도록 선명하게 표시해야 한다.
(2) 위 (1)항에서 화주가 화주의 의무를 다하지 못한 경우, 운송인은 화물과 관련한 어떤 손실 또는 손해에 대하여 책임지지 아니하며, 화주는 앞서 언급한 화주의 불이행으로 발생한 어떤 재산상 손실 또는 손해, 또는 인적 상해에 대하여 책임을 져야 하며, 그 결과로 발생한 손실 또는 책임에 대하여 운송인에게 배상해야 한다.
19. DELIVERY BY MARKS. 하인에 의한 인도
(1) 양하항과 인도장소의 이름과 함께 적어도 2인치 크기의 문자와 숫자로 운송인이 화물을 수취하기 전(前)에 화주에 의해 화물, 포장물과 컨테이너에 선명하고도 지워지지 않을 정도로 하인이 표시되어 있지 않았을 경우, 운송인은 하인에 따른 인도지연 또는 인도잘못에 대하여 책임지지 아니한다.
(2) 운송인은 결코 주요 마크이외 사항에 따른 인도에 대하여 책임지지 아니한다.
(3) 하주는 화물, 포장물, 컨테이너의 하인은 본 선하증권상에 명시된 하인과 일치함을 운송인에게 보증하여 또한 모든 점에서 강제적으로 양하항, 인도장소의 법과 규정에 따르며, 운송인에게 하인이 불안전하거나 부정확함으로 인해 발생하거나 일어나는 모든 손실, 손해, 제비용, 일체의 벌금과 과태료에 대하여 배상함을 보증한다.
(4) 하인과 개수로 분별할 수 없는 화물들, 화물 청소, 셀 수 없는 액체잔여분과 기타 요구되지 않은 화물들은 분명한 부족, 중량의 손실 또는 손해비율에 비례하여 비슷한 특성을 지닌 화물들을 여러화주에게 인도를 완료할 목적으로 할당되어야 한다.
20. DELIVERY 인도(引渡)
(1) 운송인은 본 선하증권의 전면(前面)에 명시된 양하항 또는 인도장소의 지리적 범위내에서 선박의 난간으로부터 언제든지 운송인에 의해 화물을 지정된 세관창고, 보세창고, 부두, 선창 또는 그 밖의 장소에 인도할 권리가 있다.
(2) 여하튼 운송인에 의해 지정된 장소에서 화주를 대신할 법적 자격이 있는 화주, 내륙 운송인 또는 기타 특정인에게 화물을 인도하였을 때 운송인의 책임은 종료된다. 세관 또는 정부당국의 압류에 다른 화물 인도의 경우, 이 시점에서 최종인도로써 운송인의 책임은 종료된다.
(3) 화주에 의해 또는 화주를 대신하여 짐이 적재된 컨테이너를 화물로서 운송인이 수취한 경우, 운송인은 본 선하증권의 전면(前面)에 명시된 컨테이너의 총 개수의 인도에만 단지 책임이 있으며, 상표, 하인, 개수, 포장크기 또는 형태, 수량에 따라서 컨테이너를 풀어 그 내용물을 인도할 필요는 없다. 그러나, 만일 운송인의 전적인 자유재량에 따라 그리고 운송인은 관계된 양하항에 선박도착 예정일자보다 적어도 3일전에 도착해야 한다는 서면상의 화주 요청에 따를 경우, 서면상 지시에 따라서 운송인은 컨테이너를 풀어 한 화주 또는 그 이상의 화주에게 그 내용물을 인도할 수도 있다. 이러한 경우 만일 컨테이너의 봉인이 컨테이너를 여는 그 때에 온전한 상태였다면, 여기에서 운송인의 의무는 인도를 완료한 것으로 간주되며 운송인은 그러한 인도에서 야기되거나 발생하는 내용물에 대한 손실 또는 손해에 대하여 책임지지 아니한다. 그리고 화주는 발생된 운임과 기타 부대비용에 대하여 적절한 정산에 대한 책임이 있다.
(4) 화물이 운송인에 의해 컨테이너에 적재된 경우에 운송인은 컨테이너의 개방과 선하증권 전면에 기재된 내용물을 인도할 수는 있으나, 컨테이너 안의 내용물을 인도하도록 요구되지는 않는다. 그러나 운송인의 전적인 자유재량과 화주와 운송인 사이 사전 합의가 있는 화물인 경우에는 컨테이너로 화주에게 인도되어야 한다. 어느 경우든지 컨테이너가 봉인된채 운송인에 의해 인도되어졌다면 이러한 인도는 운송인의 책임이 본 선하증권에 다라서 완전히 종료된 것으로 간주한다. 또한 컨테이너의 내용물에 대한 어떠한 손실이나 손해에 대하여도 책임지지 아니한다.
(5) 양륙항선택하도 방식으로 화물이 인도되도록 하려면 우선 화물이 수취되기전에 신고하고 또한 이러한 사실이 선하증권에 명시되어 있을 경우에 한해서 허용된다. 이와 같이 명시된 선택권을 행사하려는 화주는 최초의 선택항에 도착하기 48시간 전에 동항의 본 운송인에 그 양하지를 통지해야 한다. 만일 그렇게 하지 않으면 본 선박의 선택에 의하여 선택항 중 어느 항구에라도 화물을 양하할 수 있으며 이러한 양하와 동시에 본 운송인의 책임은 종료된다.
21. TRANSHIPMENT AND FORWARDING. 환적과 운송
(1) 미리 계약이 되었건 되었지 않던간에, 운송인은 임의로 통지없이 화물을 전체 또는 부분적으로 운송인 소유이건 제 3자의 소유이건 명명된 선박 또는 기타 타 선박, 부선 또는 기타 운송수단에 의해 육로, 수로, 항공로로 운송할 수 있다. 운송인은 어떤 상황하에서 환적을 위해 어떤 항구 또는 장소에 화물 전부 또는 그 일부를 양하할 수 있으며 화물 전부 또는 그 일부를 선상에 보관하거나 육지에 보관할 수 있으며 그리고 기타 운송수단에 의해 운송할 수 있다.
(2) 본 선하증권에 명시된 화물이 양하항 또는 인도장소에 없는 경우 또는 잘못운송된 경우, 그 화물이 발견되었을 때 예정된 항구 또는 인도장소로 운송인의 비용으로 운송되어질 수 있지만 그러한 운송으로 발생하는 어떤 손실, 손해, 지연 또는 상품 가격 하락에 대하여 책임지지 아니한다.
22. FIRE 화재(火災)
운송인의 실제적 과실 또는 관여에 의해 야기된 경우가 아니라면, 운송인은 비록 선박에 선적전 또는 양하후일지라도 언제든지 발생할 수 있는 화재로부터 발생하거나 기인하는 화물에 대한 어떤 손실 또는 손해에 대하여 책임지지 아니한다.
23. LIEN 유치권(留置權)
(1) 본 선하증권과 여기에 사전 어떤 계약과 그것을 보상할 경비와 비용하에 화주의 부담으로, 혹은 화주에게 부과되거나 화주에 의해 지불될 모든 운임, 부적운임, 체선료, 손해, 손실, 요금, 제비용과 기타 금액 총계를 보상받기 위해 화물에 관한 유치권을 가지며, 화주에게 통지없이 사적 또는 공적 매각에 의해 그 화물을 팔 수 있다. 만일 화물의 매매가 지불 금액과 발생한 모든 경비와 비용을 보상하지 못 할 경우, 운송인은 화주로부터 그 결손을 보상받을 수 있는 법적 권리가 있다.
(2) 만일 화물이 합법적 기간동안에 요구되지 않을 경우, 또는 운송인의 견해로 그 화물이 손상되거나 부패하거나 가치가 없어질 것으로 판단되는 경우, 운송인은 그의 자유재량과 그의 유치권에 따라 그에게 부과되는 어떤 책임도 없이 그 화물을 오로지 화주의 위험과 비용으로 팔거나, 권리를 포기하거나 혹은 처분할 수 있다.
24. FREIGHT AND CHARGES 운임(運賃)과 요금(料金)
(1) 운임은 화주에 의해 제공된 화물의 명세를 근거하여 산정될 수 있으며, 화주는 운송인이 화물을 수취시에 화주에 의해 제공된 내용물, 총중량, 용적 또는 상품 가격의 정확성을 운송인에게 보증해야 한다. 하지만, 운송인은 실제 화물의 명세를 확인할 목적으로 언제든지 컨테이너와 화물포장을 개방하여 그 화물을 내용물, 총중량, 용적과 상품가격을 검사할 수가 있으며 화주는 다음사항에 대하여 운송인에게 책임과 의무가 있다.
(a) 부과된 운임과 정확한 세목으로 부과될 운임사이의 차액운임, 게다가
(b) 변제되어야 하고 규명된 손해,
(2) 명시된 운임이 선불조건이거나 목적항에서 착지불(着支佛)조건이나를 불문하고 본 선하증권상에 기재된 양하항 또는 인도장소까지의 운임 전액은 선적과 동시에 가득(稼得)한 것으로 간주한다. 운송인은 실제로 운임 지불여부를 불문하고 모든 운임과 기타 요금을 받을 권리가 있으며, 전적인 운송단계에서 선박 또는 화물의 멸실여부, 또는 항해 중단 혹은 좌절, 포기여부를 불문하고 모든 운임과 기타 요금을 취소불능조건으로․수령하고 보전할 권리가 있다.
(3) 운임 또는 요금의 지급은 계정상홰, 반환청구 및 공제없이 현금지불해야 한다. 운임이 양하항 또는 인도장소에서 지불될 경우, 그 운임과 모든 기타 요금은 본 선하증권에 명시된 통화로 지불될 경우, 그 운임과 모든 기타 요금은 본 선하증권에 명시된 통화로 지불되어야 하며, 또는 운송인의 선택에 의해 지불장소에서의 세관 또는 관계된 운임협의 규정에 다라 기타 다른 통화로 지불되어야 한다.
(4) 일단 운송인이 수취한 화물은 운송인의 동의없이 그리고 그러한 인도 또는 처리를 통하여 운송인이 입는 어떤 손실에 대한 보상과 운임 전부를 지불하는 것 없이 화주에 의해 가져가거나 또는 처분될 수가 없다. 만일 선박이 선적할 준비가 되었을 때 화물이 준비되지 않았을 경우, 운송인은 그 화물을 선적할 어떤 의무도 없으며 더욱이 통지없이 항구를 떠날 수 있으며 화주는 부적운임을 지불해야 한다.
(5) 화주는 화물에 부과된 영사 수수료를 포함한 모든 수수료, 관세, 세금과 요금에 대하여, 또는 화물과 관련하여 어떤 정부 또는 공공기관의 법과 규정을 화주가 위반하는 경우 혹은 화물에 수반되는 영사사증, 보건당국 증명서, 각종 증명서를 획득하지 못한 경우를 포함하여 어떠한 식으로 야기되었던지 운송인이 입은 모든 벌금과 손실에 대하여 책임이 있으며 운송인에게 배상해야 한다. 화주는 어떤 정부 또는 공공기관에 의해 수출․수입이 거부된 화물에 대한 왕복 운임과 요금에 대하여 책임을 져야 한다. 만일 화물에 대하여 분류, 검사, 수선, 수리, 또는 그 밖의 보호 또는 주의의 필요가 있다고 운송인이 판단한다면, 운송인은 화주의 비용부담으로 그 일을 수행할 수 있다. 화주의 비용부담으로 그리고 화주의 대리인으로서 위에서 언급한 어떤 문제를 수행하고 모든 요금과 비용을 지불할 수 있도록 화주는 운송인에게 위임하며, 제 3자가 화물의 소유권을 되찾을 수 있도록 보증할 수 있도록 권한을 위임하며 그리고 화물의 이득을 위해 합당하다고 간주되는 모든 일을 수행할 수 있도록 화주는 운송인에게 위임한다.
(6) 하주, 수하인, 화물의 소유자와 본 선하증권의 선의의 소지자는 모든 운임과 요금의 지불에 대하여 그리고 그들 각각의 의무수행을 위하여 운송인에게 연대하여 각각 책임을 져야 한다.
25. NOTICE OF CLAIM AND TIME FOR SUIT. 청구(請求)통지와 소송시기
(1) 만일 화물 인도시(時) 또는 인도전(前)에 양하항 또는 인도장소에서 운송인에게 손실 또는 손해 통지가 그리고 그러한 손실 또는 손해의 종합적인 형태가 서면상으로 제시되지 않을 경우, 또는 설령 손실 또는 손해가 분명치 않다할지라도 인도후 3일 이내에 제시되지 않는다면, 그 화물은 본 선하증권에서 명시된 것처럼 인도된 것으로 간주된다.
(2) 화물이 인도된 일자 또는 화물의 인도 후 1년이내에 소송이 제기되지 않으면, 여하튼 운송인은 인도가 이루어지지 않은 경우, 인도잘못, 지연, 손실 또는 손해에 관한 모든 책임으로부터 면책된다.
26. LIMITATION OF LIABILITY. 책임(責任)의 한계(限界)
(1) 운송인이 책임질지도 모르는 모든 클레임은 화주의 상업송장 정가에 운임과 보험료를 더한 기준으로 정산되며, 만일 지불된다면, 운송인은 결코 이윤의 어떤 손실 또는 어떤 간접적인 손실에 대하여 책임지지 아니한다.
(2)
(ⅰ) 위 (1)항에도 불구하고, 운송인은 1개당 영국화폐 100파운드를 초과하는 화물의 가격이 선적 전에 송하인에 의해서 서면으로 신고되고 또 그 화물의 본질과 가격이 선하증권에 기재되고 합의된 대로 별도운임이 지급된 경우가 아니면, 운송인은 어떠한 경우에도 한 개 포장, 수량 또는 단위가 영국화폐단위 100파운드 또는 그것에 상응하는 기타 다른 통화를 초과하는 손실 또는 손해에 대하여 책임지지 아니한다. 만일 화물의 한 개 포장, 수량 또는 단위당 실제가격이 신고한 가격을 초과하더라도 그 가격은 신고된 가격으로 간주한다. 어떤 부분적 손실 또는 손해는 그 화물의 신고된 가격에 기준하여 비례하여 정산한다. 신고된 가격이 실제가격보다 높게 표시된 경우, 운송인은 어떠한 경우에도 어떤 배상을 할 책임을 지지아니한다. 그리고
(ⅱ) 화물이 화주에 의해 또는 화주를 대신하여 컨테이너에 적재되거나 비슷한 운송수단 품목에 적재된 경우, 본 선하증권상에 명시된 그 컨테이너의 개수 혹은 비슷한 운송수단 항목은 본 선하증권상에서 규정된 책임 한계의 적용을 위해 포장, 수량 또는 단위의 개수로 간주한다는 것에 명백히 동의하는 것이다.
27. GENERAL AVERAGE, NEW JASON CLAUSE. 공동해손(共同海損), 뉴-제이슨 약관
(1) 공동해손은 1974년 요크-엔트워프 규칙, 수정된 1990년 요크-엔트워프 규칙에 다라서 운송인의 선택에 의해 서울 또는 어느 항구 또는 어느 장소에서 정해지며 정산된다. 그리고 이들 규칙에 규정되지 않은 사항들에 관해서는 정산장소 또는 항구의 법과 관례에 따라서 그리고 운송인이 선택한 통화로 정하여 정산된다. 공동 해손 명세서는 운송인이 임명한 정산인들에 의해 작성된다. 운송인이 화물의 견적 분담금을 지불하기에 충분하다고 간주할 수 있는 공동해손 협의금 또는 보증금과 현금 예치금과 운송인이 청구할 수 있는 어떤 해난구조비와 특별비용과 기타 추가 담보금은 화물의 인도전(前)에 화주가 운송인에게 지급해야 한다.
(2) 과실로 인한 것이든 아니든 그 원인을 불문하고 항해 개시 전 또는 개시 후에 사고, 위험, 손상 또는 재해가 발생하였을 경우에는 이에 대하여 또는 그 결과에 대하여 법률, 계약 및 기타에 의하여 운송인이 그 책임을지지 아니하게 되어 있을 경우에는 화물, 화주는 본 운송인과 연대적으로 그리고 각각, 발생하게 될 공동해손의 성질을 갖는 일체의 희생, 손실 또는 비용을 분담해야 하며 또한 화물에 대하여 발생한 구조비 및 특별비용을 지급해야 한다. 비록 그 구조선이 본 운송인의 소유이거나 또는 본 운송인에 의해서 운영되고 있는 경우일지라도 그 구조선이 제 3자의 소유인 경우와 똑같이 구조비용은 전액 지급되어야 한다.
28. BOTH TO BLAME COLLISION. 쌍방과실충돌 약관
만일 본 선박이 상대방 선박의 과실과 본 선박의 선장, 선원, 도선사 또는 기타 운송인의 사용인의 선박의 항해 및 관리상의 행위, 부주의 및 과실에 의하여 타 선박과 충돌하였을 경우, 그러한 손실 또는 책임이 타선박 또는 비적재선 또는 그 선박소유주에 의해 화주에게 지불되거나 지불될 수 있는 화물에 대한 손실 또는 손해 또는 화주의 클레임을 의미하고 적재선 또는 그 선박소유주에 대한 청구금액의 일부로서 타선박 또는 비적재선 또는 그 선박소유주에 의해 변제된 상쇄청구금을 의미하는한 화주는 타선박 또는 비적재선 또는 선박 소유주에게 직․간접적으로 발생될 수 있는 모든 손실 책임에 대하여 운송인에게 배상해야 한다.
상기 규정은 충돌선 또는 충돌물체가 충돌 또는 접촉에 관한 과실이 있는 경우 외에도 충돌물체나 충돌선 이외의 물체나 선박을 관리하는 자, 운영하는 자 또는 소유자가 충돌이나 접촉에 관하여 과실이 있을 경우에도 적용된다.
29. LOCAL CLAUSE. 지역약관(地域約款)
본 선하증권이 미국으로 또는 미국으로부터 운송되는 화물을 부보할 경우 그리고 대한민국의 상법이 본 선하증권을 지배할 수 없다고 판결될 경우,
(1) 본 선하증권의 제 16조와 제 15조 3항은 다음 조문으로 대체된다.:
“살아있는 동물, 조류, 파충류와 어류, 식물 그리고 갑판적으로 운송되거나 운송될 화물에 관하여, 화주는 그러한 운송에 대한 고유의 위험 또는 부수적으로 발생할 수 있는 위험에 의한 모든 손실 또는 손해에 대한 위험을 부담한다, 하지만 운송인은 그러한 화물의 관리와 운송과 관련한 모든 점에 있어서 제 1장 (c)에도 불구하고 1936년 미국해상화물운송법의 규정들과 본 조항의 규정들에 모순되고 불일치하는 규정들은 제외하고 본 선하증권의 모든 규정들의 적용을 받는다.”, 그리고 (2) 본 선하증권의 제 7조 2항 (ⅱ)는 다음 조문으로 대체된다.:
“상기 (1)항의 적용을 받는 것은 제외하고, 운송인의 대리인 또는 하도급자에 의해 화물의 취급, 보관, 운송동안에 발생하는 손실 또는 손해에 관해서, 운송인의 대리인 또는 하도급자는 만일 그의 책임하에 그러한 취급, 보관 또는 운송을 떠맡는 것이 운송인을 위해 적용되는 법령, 규칙 또는 규정들하에 권한이 부여되지 않는 경우, 화주에게 그 한도까지 책임이 있으며, 어느 운송인 또는 제 3자가 그들의 계약과 요율하에 그러한 취급, 보관, 또는 운송을 하는 것으로 발생하는 화물에 대한 인도를 하지 않는 것, 인도잘못, 지연 또는 손실에 관해서 운송인은 화주에게 정산 할 법적 권리는 없다.
